These Terms and Conditions ("Terms") govern access to and use of the coaching, consulting, and educational services (the "Services") offered by Aspire Advisory Collective LLC, doing business as Aspire | Achieve | Exit ("Aspire," "we," "us," or "our"), a Florida limited liability company located at 1901 W Colonial Drive, Orlando, FL 32804. By engaging our Services, visiting our website, or otherwise communicating with us, you ("Client" or "you") agree to be bound by these Terms. If you do not agree, please do not use our Services.
1. Description of Services
Aspire provides business coaching, consulting, and educational services primarily to home-service business founders and other business owners. The Services are focused on helping owners work toward building systems, leadership, and enterprise value, with the goal of reducing a business's dependence on its owner and helping the owner pursue growth, succession, or a potential future sale. The Services are educational and advisory in nature; Aspire does not operate, manage, or assume responsibility for the Client's business, and does not perform the work of implementing recommendations on the Client's behalf. The specific scope, deliverables, schedule, and fees for any engagement are set forth in a separate coaching, consulting, or enrollment agreement signed by the Client (an "Engagement Agreement"). These Terms supplement and are incorporated into every Engagement Agreement unless that agreement expressly states otherwise.
2. Eligibility
Our Services are intended for business owners and professionals operating in the United States who are at least 18 years of age and have the authority to enter into a binding agreement on behalf of themselves or their business. By engaging our Services, you represent that you meet these requirements.
3. Fees and Payment
Fees for the Services are described in the applicable Engagement Agreement. Unless otherwise stated in writing, fees are due in accordance with the payment schedule set out in that agreement, are non-refundable once Services have commenced, and do not include third-party costs (such as software subscriptions, legal fees, or accounting fees) that a Client may separately incur while implementing recommendations. Aspire reserves the right to suspend Services for accounts with outstanding balances.
4. Communications, Appointment Reminders, and SMS Messaging
As part of the Services, Aspire may contact you by phone, email, and text message (SMS) regarding scheduling, appointment confirmations, and reminders for upcoming calls, sessions, or meetings. By providing your mobile phone number to us, you consent to receive informational SMS messages from Aspire for these scheduling-related purposes. These messages are transactional and informational in nature — we do not send marketing or promotional text messages under this consent.
Message frequency will vary depending on your scheduled appointments and meetings. Message and data rates may apply, and receipt of messages depends on your mobile carrier's network. Aspire and its messaging partners are not liable for delayed or undelivered messages. You may opt out of SMS communications at any time by replying "STOP" to any message, or by contacting us using the information in Section 17. Reply "HELP" for assistance. Your mobile information will not be sold, shared, or disclosed to third parties or affiliates for marketing or promotional purposes. 5. No Legal, Financial, or Professional Services or Advice
The Services consist solely of business coaching, consulting, and education. Nothing communicated by Aspire, its owners, coaches, consultants, employees, contractors, or representatives — whether in individual sessions, group programs, written or recorded materials, or otherwise — constitutes legal, tax, accounting, financial, investment, securities, insurance, or medical advice, and the Services do not constitute legal services, financial or investment services, accounting or tax services, or any other licensed professional service.
No attorney-client relationship, fiduciary relationship, broker-dealer or investment-advisory relationship, or other professional-client relationship is created by your use of the Services. Although Aspire's founder and personnel may hold professional licenses (including as a licensed attorney) and may provide licensed services through separate and distinct businesses, the Services offered under these Terms are provided solely in a business-coaching capacity, are entirely separate from and independent of any law practice or other licensed professional service, and do not create an attorney-client or any other professional relationship.
Any concepts discussed regarding business entities, trusts, contracts, succession, estate, tax, insurance, or financial matters are provided at a general, conceptual, and educational level only, are not tailored to your specific circumstances, and are not a substitute for advice from your own licensed attorney, CPA, financial advisor, or other qualified professional. You are solely responsible for engaging appropriate licensed professionals and for all decisions you make before acting on any information discussed in connection with the Services.
6. No Guarantees; Results Are Not Typical; Effort Required
Aspire makes no guarantees, promises, representations, or warranties of any kind, whether express or implied, regarding any result or outcome from the Services, including any specific income, revenue, profit, cost savings, business valuation, growth, level of owner independence, or any successful exit, sale, or succession.
The Services are not a "get-rich-quick," "business opportunity," or "done-for-you" program, and they will not create passive income. Building a business that runs with less reliance on its owner takes substantial hard work, time, discipline, and consistent implementation by the Client. Your results depend entirely on your own effort, skill, decisions, resources, market conditions, and circumstances — most of which are outside Aspire's control — and nothing will change unless you do the work.
Any examples, case studies, testimonials, or descriptions of past results that Aspire shares are provided for illustration only. They are not a promise or guarantee that you or anyone else will achieve the same or similar results, and they are not necessarily representative of typical results. Aspire does not offer any business or investment opportunity and makes no earnings claims of any kind.
7. Disclaimer of Warranties
The Services and all related materials are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Aspire disclaims all warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising from course of dealing or usage of trade. Aspire does not warrant that the Services will meet your requirements or be uninterrupted, timely, secure, or error-free.
8. Intellectual Property
All materials provided as part of the Services — including frameworks, worksheets, templates, assessments, recordings, and written content — are the intellectual property of Aspire and are licensed to the Client solely for the Client's internal use in operating the Client's own business. Clients may not reproduce, resell, distribute, or publicly share these materials without Aspire's prior written consent.
9. Confidentiality
Each party agrees to keep confidential any non-public business, financial, or personal information disclosed by the other party in connection with the Services, and to use such information only for purposes of the engagement. This obligation survives the termination of any Engagement Agreement.
10. Client Responsibilities
The Client agrees to provide accurate information, participate in good faith, and take timely, reasonable steps to implement agreed-upon action items. The Client acknowledges that the value and results of the Services depend on the Client's own consistent effort, active participation, honesty, and full implementation of recommendations, and that Aspire does not and cannot perform this work for the Client or control whether the Client acts on it.
11. Limitation of Liability
To the fullest extent permitted by law, Aspire and its owners, employees, coaches, and contractors will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits, revenue, data, or business opportunity, arising out of or related to the Services, even if advised of the possibility of such damages. Aspire's total aggregate liability for any claim arising out of or relating to the Services will not exceed the total fees paid by the Client to Aspire in the twelve (12) months preceding the event giving rise to the claim.
12. Indemnification
The Client agrees to indemnify and hold harmless Aspire and its owners, employees, coaches, and contractors from any claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of the Client's use of the Services, the Client's business or its operation, the Client's violation of these Terms, or the Client's violation of any law or third-party right.
13. Term and Termination
These Terms remain in effect for as long as a Client uses the Services. Either party may terminate an Engagement Agreement in accordance with its terms. Aspire may suspend or terminate access to the Services for non-payment, misuse, or breach of these Terms.
14. Dispute Resolution and Governing Law
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Orange County, Florida, and each party consents to the personal jurisdiction of those courts.
15. Force Majeure
Aspire will not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including natural disasters, acts of government, labor disputes, or interruptions in telecommunications or internet services.
16. Modifications to These Terms
Aspire may update these Terms from time to time. The version posted on our website or provided directly to Clients will state the effective date of the then-current Terms. Continued use of the Services after an update constitutes acceptance of the revised Terms.
17. Entire Agreement; No Reliance; Contact Information
These Terms, together with any applicable Engagement Agreement, constitute the entire agreement between the Client and Aspire regarding the Services and supersede any prior understandings, communications, or representations. The Client acknowledges that, in deciding to use the Services, it has not relied on any representation, promise, guarantee, or statement of results that is not expressly set out in these Terms or an Engagement Agreement.
